Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Caedral website, API, dashboard, and related services (collectively, the “Service”) provided by Caedral (“Caedral,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms constitute a binding agreement between you and Caedral. Questions about these Terms may be directed to [email protected].

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” refers to that organization.

The Service

Caedral provides AI model infrastructure, including API access to the chat and specialized models available through the API as listed on the Models page, developer tools, and related services. Marketplace distribution via OpenRouter (when approved) uses a separate provider channel and settlement ledger and does not debit subscription API usage pools. We may modify, suspend, or discontinue features with at least 30 days' notice where practicable, except for changes required for security, legal compliance, or abuse prevention. The Service is provided on an “as available” basis.

Accounts and API keys

• You are responsible for maintaining the confidentiality of your account credentials and API keys
• You are responsible for all activity that occurs under your account, whether authorized or not
• You must notify us promptly at [email protected] of any unauthorized access or suspected security breach
• We may suspend or revoke access if we reasonably believe your account has been compromised, misused, or poses a risk to the Service or other users

Acceptable use

You agree not to use the Service to:

• Violate applicable laws, regulations, or third-party rights
• Generate, store, or distribute illegal, harmful, harassing, defamatory, or fraudulent content
• Attempt to bypass rate limits, authentication, billing controls, or other security measures
• Reverse engineer, decompile, scrape, or probe the Service except as expressly permitted by law or these Terms
• Resell, sublicense, or provide unauthorized third-party access to the API without our written consent
• Submit content that infringes intellectual property, privacy, or other rights of others
• Use the Service to develop competing AI model infrastructure without our written consent
• Interfere with or disrupt the integrity or performance of the Service

We may investigate suspected violations and suspend or terminate access at our discretion. We may report illegal activity to law enforcement.

Subscriptions and billing

Paid plans are billed on a recurring basis through Stripe, Inc. By subscribing, you authorize Caedral and Stripe to charge your designated payment method for subscription fees, usage-based charges, applicable taxes, and any other fees described on our Pricing page.

Billing cycle and renewals

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date
• You can cancel through the dashboard or by contacting [email protected]
• Cancellation takes effect at the end of the current billing period; you retain access until then
• Usage beyond included plan limits may incur additional charges as described on the Pricing page

Price changes

We may change prices with at least 30 days' notice by email or through the Service. Price changes apply at your next renewal after the notice period. If you do not agree, cancel before the change takes effect.

Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes associated with your use of the Service, excluding taxes based on Caedral's net income. Stripe may collect and remit sales tax or VAT where required.

Refunds

Self-serve subscription fees may be refunded only when both of the following are true: (1) the request is made within 14 days of purchase, and (2) the plan has not been used — including any API request, included-pool debit, or on-demand usage. Eligibility is determined from historical usage records, not from a resettable remaining-quota figure. We do not offer refunds for unused time after the plan has been used, and we do not prorate mid-cycle cancellations, except where applicable law requires otherwise (including mandatory consumer-protection rights that cannot be waived). Billing errors and extended Service outages caused by Caedral may be refunded at our discretion. Send refund requests to [email protected].

Failed payments and chargebacks

If a payment fails, we may retry the charge and suspend paid features until payment is resolved. You remain responsible for all outstanding amounts. Filing an unwarranted chargeback may result in immediate account suspension. Contact [email protected] before initiating a chargeback so we can resolve billing issues directly.

Intellectual property

Caedral retains all rights, title, and interest in the Service, including all software, documentation, branding, models, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and applicable documentation. No rights are granted except as expressly stated.

Your content and model outputs

You retain ownership of content you submit through the API (“Input”). You grant Caedral a worldwide, non-exclusive license to use, process, store, and transmit Input solely to provide, maintain, and improve the Service, comply with law, and enforce these Terms.

Subject to your compliance with these Terms and applicable law, Caedral assigns to you all right, title, and interest in model-generated responses (“Output”) resulting from your Input, to the extent Caedral has such rights. Output may be subject to usage restrictions disclosed in our documentation; you are responsible for complying with any applicable requirements we publish.

You are solely responsible for evaluating Output for accuracy, completeness, and suitability before use. AI-generated content may be incorrect, incomplete, or inappropriate. Do not rely on Output as a substitute for professional advice in legal, medical, financial, or other regulated domains.

Disclaimer of warranties

THE SERVICE AND ALL MODEL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CAEDRAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE OF HARMFUL CONTENT. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES; IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAEDRAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE, OUTPUT, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CAEDRAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAEDRAL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO CAEDRAL FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; IN THOSE JURISDICTIONS, CAEDRAL'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless Caedral and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your Input or use of Output; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access immediately, without notice, if you breach these Terms, fail to pay fees, pose a security or legal risk, or if required by law. Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Dispute resolution and arbitration

Before initiating arbitration or litigation, you agree to contact [email protected] and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, with one arbitrator, and may be conducted remotely unless the arbitrator determines an in-person hearing is necessary.

The seat of arbitration shall be Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in court to prevent unauthorized use or disclosure of intellectual property or confidential information.

Class action waiver

YOU AND CAEDRAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Caedral agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes will be communicated by email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel your subscription before the changes take effect.
